Deli Pratama Batubara (DPB) is making a tender offer after the Perdana Karya Perkasa (PKPK) share acquisition transaction will be completed on September 24 2021.
The tender offer starts Tuesday, 19 October 2021 and lasts until Tuesday, 17 November 2021. The tender offer implementation price is around IDR 73 per share. The total number of shares owned is 297,383,762 shares, or 297.38 million shares.
As reported by the Indonesian Stock Exchange (BEI), Monday (18/10), Perdana Karya Perkasa Corporate Secretary, Ferry Bastian, stated, "The aim of the transaction is to diversify the investment portfolio, and develop the construction and mining services segment."
Perdana Karya public shareholders must sell at least 302,616,238 ordinary shares, or 50.44 percent of all shares, through a tender. All these shares must be deposited with valid voting rights in the company in question at a price of IDR 200 per share.
The company's offering price is IDR 73 per share, which is the highest price between the takeover price and the average price of the highest daily trading price on the IDX for the last ninety calendar days before the takeover announcement was made. Thus, a maximum mandatory tender offer worth IDR 22.09 billion can be made.
