PT Perdana Karya Perkasa Tbk (PKPK) will buy 14.9 million shares of PT Deli Pratama Batubara (DPB) in PT Bhakti Harapan Sentosa (BHS).
In the brief prospectus issued by PKPK management on Wednesday, January 11 2023, it was stated that they would purchase 14,991,000 shares, which shows that 99.94% of the total capital will be placed and fully paid up in BHS rights issue shares owned by DPB worth IDR 165 billion, with funds from the public offering () that have not yet been used.
According to the Company's Shareholder List published by PT Raya Bahan Registra on October 30 2023, DPB owns 890,051,418 shares, or 74.17% of the total shares, issued and deposited in the Company.
Thus, as the seller in the Transaction Plan, DPB is the controlling shareholder of PKPK. Therefore, in accordance with OJK regulations in POJK 42/POJK.04/2020, this transaction is considered an affiliate.
BHS has a subsidiary, PT Tri Oetama Persada TOP, which has a Mining Business License and owns 70% of the total capital. production operations (IUPOP) in a 10,000 ha coal mine. Changes in control over BHS and TOP are not caused by the Transaction Plan.
PKPK management will seek shareholder approval at the Extraordinary General Meeting of Shareholders (EGMS) which will be held on December 15 2023 because they believe that the Transaction Plan can increase the value of share investments and increase investment profits for the Company.
